Terms of Service

Welcome to Forge ("Company," "we," "us," "our"). By accessing or using our website, mobile applications, and services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

We may update these Terms from time to time. Your continued use of the Platform after any changes indicates your acceptance of the updated Terms.

Age Requirements: You must be at least 13 years old to use the Platform. If you are between 13 and 18 years old, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

Parental Consent: By creating an account for a minor, parents or guardians acknowledge that they have consented to their child's use of the Platform and agree to be responsible for the minor's compliance with these Terms.

Coach Verification: If you register as a college coach, you represent that you are a legitimate staff member of an NCAA, NAIA, NJCAA, or U SPORTS institution. We reserve the right to verify your identity and institutional affiliation before granting access to coach-specific features.

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate, current, and complete information in your profile
• Updating your information to keep it accurate and complete
• Notifying us immediately of any unauthorized use of your account

You agree not to share your account credentials with others, create multiple accounts, or impersonate any person or entity.

No Guarantee of Recruitment: Use of the Platform does not guarantee that you will be recruited, receive athletic scholarships, or be admitted to any college or university. Recruiting decisions are made solely by individual institutions.

Informational Only: The Platform provides tools and information to assist with the college recruiting process. We do not act as agents, recruiters, or scouts. We do not make any representations about the accuracy or completeness of information provided by other users.

Third-Party Information: Information about colleges, programs, and coaches is gathered from publicly available sources and may not be current or accurate. Always verify information directly with institutions.

Your Content: You retain ownership of all content you submit to the Platform (profile information, videos, images, etc.). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content in connection with the Platform.

Prohibited Content: You agree not to submit content that:

• Is false, misleading, or fraudulent
• Violates any law or regulation
• Infringes on intellectual property rights
• Contains personal information of others without their consent
• Is harassing, threatening, or discriminatory
• Contains malware or harmful code

We reserve the right to remove any content that violates these Terms.

The Platform, including its design, features, and content (excluding user content), is owned by Forge and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

"Forge" and our logos are trademarks of the Company. You may not use these marks without our prior written permission.

Free Tier: Basic features are available at no cost. We reserve the right to modify free tier features at any time.

Paid Subscriptions: Premium features require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis depending on your selection.

Cancellation: You may cancel your subscription at any time. Access to premium features will continue until the end of your current billing period. No refunds are provided for partial periods.

Price Changes: We may change subscription prices with at least 30 days' notice. Price changes will apply to the next billing cycle after the notice period.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to indemnify and hold harmless Forge, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Platform, your content, or your violation of these Terms.

By You: You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your right to use the Platform will immediately cease.

By Us: We may suspend or terminate your account at any time, with or without cause, with or without notice. Reasons for termination may include but are not limited to: violation of these Terms, fraudulent or illegal activity, extended inactivity, or at our discretion.

Effect of Termination: Upon termination, you lose access to your account and any data associated with it. We may retain certain information as required by law or for legitimate business purposes.

Informal Resolution: Before filing a claim, you agree to contact us at support@forgerecruiting.com to attempt to resolve the dispute informally.

Arbitration: If informal resolution is unsuccessful, any dispute arising from these Terms or your use of the Platform shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in [Your State], unless we agree otherwise.

Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

Exceptions: Nothing in this section prevents either party from seeking injunctive relief in court for intellectual property infringement or unauthorized access to the Platform.

Governing Law: These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Forge regarding the Platform.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
